Terms of Service

1. Acceptance of Terms

By creating an account or using FirmDeed (the "Service"), operated by Versaloop Pvt Ltd ("FirmDeed," "we," "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

FirmDeed provides tools to create a will document and to store supporting documents, media, and records in an encrypted digital vault, along with executor-notification and death-verification features designed to make that content available to a designated executor after your death.

3. Eligibility and Accounts

You must be at least the age of majority in your province or territory of residence to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

4. Fees and Payment

FirmDeed offers a Will Creation plan, a Will + Storage bundle, one-time storage upgrades, and additional per-GB storage add-ons, at the prices displayed on our pricing page at time of purchase. All payments are processed in USD through Stripe and are non-refundable except where required by law. Storage allowance changes apply to future purchases only unless stated otherwise.

5. Post-Death Execution and Retrieval Fees

Following confirmation of your death, your designated executor may request retrieval of your will and vault documents under one of the following tiers. All fees below are payable by the executor from your estate's funds, and FirmDeed may decline expedited requests at its discretion.

Tier 1 — Digital Retrieval

A flat fee of $500 CAD, adjusted for inflation from the year your will was created using the Consumer Price Index (CPI-U). This covers secure digital release of your will and vault documents to your confirmed executor. Full payment is required in advance of delivery.

Tier 2 — Remote Appearance (Zoom)

Billed at $500 CAD per hour, with a 5-hour minimum per appearance. Each rescheduled appearance is billed a fresh 5-hour minimum. Requests require 30 days' advance notice; requests made with less than 30 days' notice incur a 50% expedited surcharge. Full payment is required in advance of delivery.

Tier 3 — Physical Court Appearance

Billed at $500 CAD per hour plus disbursements at cost, inflation-adjusted (CPI-U) from the year your will was created. Full payment is required in advance of delivery.

If FirmDeed's service arrangement changes or is discontinued, we will provide at least 12 months' advance notice to registered users where reasonably possible.

6. Acceptable Use

You agree not to use the Service to store or transmit unlawful content, to misrepresent your identity, to interfere with the Service's operation, or to attempt to access another user's account or vault without authorization.

7. Intellectual Property

FirmDeed and its logos, software, and design are the property of Versaloop Pvt Ltd. You retain all rights to the documents and media you upload to your vault.

8. Disclaimers

FirmDeed is not a law firm and does not provide legal advice. Documents created using the Service may not be valid in every jurisdiction; you are responsible for ensuring your will meets the legal requirements where you reside, including any required witnessing or execution formalities. We recommend consulting a qualified lawyer for advice specific to your situation.

9. Limitation of Liability

To the maximum extent permitted by law, FirmDeed and Versaloop Pvt Ltd shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service, including any failure of a will to be recognized as legally valid.

10. Termination

You may close your account at any time. We may suspend or terminate accounts that violate these Terms. Upon termination, your right to access the Service ends, though vault data may be retained as described in our Privacy Policy.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or through the Service prior to taking effect.

12. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
